Terms of Use

1. Acceptance

These Terms of Use (“Terms”) govern your access to and use of rialta.exchange (the “Site”), operated by Rialta Exchange (“Rialta,” “we,” “us”). By using the Site you agree to them. If you do not agree, do not use the Site.

2. What this site is

The Site describes a business under construction. Rialta is pursuing registration with the CFTC as a Swap Execution Facility and is not yet operating one. Nothing on the Site is a trading venue, an order entry system, or a means of executing, clearing, or settling a contract. When the exchange opens, participation will be governed by our rulebook and by separate participant agreements — not by these Terms.

3. Eligibility

The Site is intended for commercial, institutional, and professional audiences, and for people aged 18 or over. Contracts on the exchange, once it is operating, will be available only to Eligible Contract Participants as defined in the Commodity Exchange Act. Reading this Site does not make you a participant and confers no right to trade.

4. No offer, solicitation, or advice

Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security, swap, or other financial instrument, nor is it investment, legal, tax, accounting, or hedging advice. Rialta provides no pricing models, no trigger probability estimates, and no return projections. Any decision to hedge an exposure or commit capital is yours, and you should take your own professional advice before making one.

5. Illustrative figures

Index values, contract structures, premiums, payouts, backtests, and portfolio views shown anywhere on the Site — including the index explorer, the example contracts, and the contract builder — are representative illustrations. They are not live quotes, current market data, executable terms, or actual positions. Where historical index behaviour is described, it describes what was observed over a stated window and says nothing about what any future window will do.

6. Permitted use

You may read, print, and share the Site for your own commercial evaluation. You may not scrape, mirror, or systematically reproduce it; attempt to gain unauthorised access to any system behind it; interfere with its operation; use its forms to send unsolicited or misleading material; or use any of it to build a competing product or a machine-learning dataset without our written permission.

7. Intellectual property

The Site and its contents — text, design, index methodology descriptions, marks, and the Rialta name and wordmark — are owned by Rialta or its licensors and are protected by intellectual property law. These Terms grant you no licence to them beyond the use described above.

8. Third-party links and services

The Site embeds and links to services we do not control, including the enquiry form supplied by our customer-relationship platform and our social profiles. We are not responsible for their content, availability, or practices, and your use of them is governed by their terms, not ours.

9. Disclaimers

The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that its content is complete or current. Descriptions of our regulatory status reflect our position at the date above and may change.

10. Limitation of liability

To the fullest extent permitted by law, Rialta and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, or business opportunities, arising out of your use of or inability to use the Site — whether the claim is in contract, tort, or otherwise, and whether or not we were advised that such damages were possible.

Nothing in these Terms limits any right or remedy that applicable law does not allow us to limit.

11. Indemnity

You agree to indemnify Rialta against claims, losses, and reasonable costs arising from your breach of these Terms or your misuse of the Site.

12. Changes

We may change the Site or these Terms at any time. The date at the top will change when we do, and your continued use of the Site after that constitutes acceptance. We may also suspend or withdraw the Site, in whole or in part, without notice.
